Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Assuro, operated by Ravid Efroni, a sole proprietor (Einzelunternehmen) registered in Austria (“Assuro”, “we”, “us”). They govern your access to and use of the Assuro websites, applications, and services (together, the “Service”).
By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other organization, you confirm that you are authorized to bind that organization, and “you” refers to that organization.
1. What Assuro is — and is not
Assuro is a software tool that helps Shopify and other online sellers organize and monitor information relating to European Union product-compliance obligations (such as EPR and GPSR). Assuro maps your products to obligations that may apply, flags potential gaps, tracks deadlines, and helps you prepare documentation.
Assuro organizes and flags. Assuro does not certify. The Service is an informational and organizational tool. It is not legal advice, regulatory advice, or a guarantee of compliance. We are not a law firm, a consultancy, an authorized representative, or a responsible person, and we do not file registrations or reports with any authority on your behalf.
You remain solely responsible for your own legal and regulatory compliance, including verifying any information the Service surfaces, completing any registrations or filings, and obtaining professional advice where appropriate. Compliance rules change and vary by country; flags and data in the Service may be incomplete, out of date, or require human review, and we mark items that need review where we can.
2. Your account
You sign in using a passwordless email link. You are responsible for keeping access to your email account secure and for all activity that occurs under your account. You must provide accurate information and keep it up to date.
You must be at least 18 years old and able to form a binding contract to use the Service.
3. Connecting your store and your data
The Service lets you connect a Shopify store or upload product data so that Assuro can sync your catalog. You authorize us to access and process that data to provide the Service. You confirm that you have the right to share any data you connect or upload, and that doing so does not breach any third-party rights or agreement (including your agreement with Shopify).
As between you and Assuro, you own your data. We process it to provide and improve the Service as described in our Privacy Policy and Data Processing Agreement.
When you use the optional write-back feature, you instruct us to write specific compliance fields to your connected store. You are responsible for reviewing and approving those changes; the Service provides a preview and an undo where available.
4. Plans, billing, and cancellation
Assuro offers a free tier and paid subscription plans. Paid plans are billed in advance on a monthly or annual basis through our payment processor, Stripe. By subscribing, you authorize recurring charges until you cancel.
Subscriptions renew automatically at the end of each billing period unless cancelled beforehand. You can cancel at any time from your account; cancellation takes effect at the end of the current billing period, and you retain access until then.
Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods, unused features, or downgrade. Prices are exclusive of taxes unless stated; you are responsible for any applicable taxes. We may change pricing with reasonable notice, effective from your next billing period.
5. Acceptable use
You agree not to misuse the Service. In particular, you will not:
- break the law or infringe anyone’s rights through your use of the Service;
- upload data you have no right to share, or that contains malware;
- attempt to gain unauthorized access to the Service, other accounts, or our systems;
- probe, scan, overload, or disrupt the Service, or circumvent usage limits or security;
- copy, resell, or reverse-engineer the Service except as permitted by law.
6. Intellectual property
The Service, including its software, design, and content (excluding your data), is owned by Assuro and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service while these Terms are in effect. We may use aggregated, anonymized data that does not identify you to operate and improve the Service.
7. Third-party services
The Service integrates with third parties such as Shopify, Stripe, and email and analytics providers. Your use of those services is governed by their own terms, and we are not responsible for them. The Service may stop supporting an integration at any time.
8. Disclaimer of warranties
The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by law. Without limiting the above, we do not warrant that the Service will be uninterrupted, error-free, or secure, or that any compliance information, flag, deadline, or document produced by the Service is accurate, complete, current, or sufficient to achieve compliance with any law.
9. Limitation of liability
To the maximum extent permitted by law, Assuro will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. In particular, and without limitation, we are not liable for any fines, penalties, sanctions, recalls, delistings, or losses arising from your compliance or non-compliance with any law, or from your reliance on information in the Service.
Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months before the event giving rise to the liability, or (b) one hundred euros (€100).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
10. Indemnification
You will indemnify and hold Assuro harmless from any claims, damages, and costs (including reasonable legal fees) arising from your data, your use of the Service, or your breach of these Terms, except to the extent caused by us.
11. Term and termination
These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users, and we may discontinue the Service with reasonable notice. On termination, your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
12. Changes to the Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, by email or in the Service). Your continued use of the Service after changes take effect means you accept the updated Terms.
13. Governing law and disputes
These Terms are governed by the laws of Austria, without regard to conflict-of-law rules, and the competent courts of Vienna, Austria will have exclusive jurisdiction, except where mandatory consumer-protection law gives you other rights.
